Terms of Service
Katalyst Terms of Service · Effective Date: July 30, 2026
These Terms govern your use of Katalyst Hub, Katalyst Pay, Katalyst 360, and related services operated by Katalyst Alliance LLC (“Katalyst,” “we,” “us,” or “our”).
1. Acceptance of Terms
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.
2. Services
Katalyst provides software for CRM, payment processing facilitation, analytics, data enrichment, and related tools. Services include Katalyst 360, an AI chatbot and messaging assistant that may connect to Meta platforms (such as Facebook Messenger, Instagram messaging, and WhatsApp where enabled) and sync interactions with Katalyst Hub. Services may be modified, updated, or discontinued at any time.
3. Account Responsibility
- You are responsible for all activity under your account and workspace
- You must provide accurate information
- You are responsible for maintaining the security of credentials and connected third-party accounts (including Meta)
- If you use the Services on behalf of a company, you represent that you are authorized to bind that company
4. Katalyst 360 and Meta integrations
4.1 Business customer responsibilities
If you enable Katalyst 360 or connect Meta assets, you agree that:
- You have the right to connect the Facebook Page, Instagram account, WhatsApp Business account, or other Meta asset you authorize
- You are responsible for your messaging content, AI configuration, escalation rules, and compliance with applicable laws (including consumer protection, privacy, telemarketing, and industry rules)
- You will comply with Meta Platform Terms, Meta Developer Policies, WhatsApp Business terms (where applicable), and any channel-specific messaging policies
- You will provide required notices and obtain consents from end users where legally required before using automated or AI messaging
- You will not use Katalyst 360 for spam, harassment, unlawful content, or prohibited categories under Meta or Katalyst policies
4.2 AI outputs
Katalyst 360 uses automated systems that may generate inaccurate or incomplete responses. You are responsible for supervising the assistant where appropriate, especially for financial, legal, medical, or other high-risk communications. Katalyst does not guarantee that AI outputs will be error-free or suitable for any particular purpose.
4.3 End users
If you message a business that uses Katalyst 360, your messages may be processed by Katalyst to deliver replies, route conversations, and sync information into that business’s Katalyst Hub workspace, as described in our Privacy Policy.
5. Fees & Payments
- All fees are non-refundable unless explicitly stated
- Katalyst may modify pricing with notice
- Continued use after pricing changes constitutes acceptance
6. Acceptable Use
You agree not to:
- Use the Services for unlawful, fraudulent, deceptive, or abusive activity
- Interfere with platform performance or security
- Reverse engineer, scrape, or exploit system architecture except as allowed by law
- Upload or transmit malware, or attempt unauthorized access
- Use messaging or AI features to send bulk unsolicited messages or violate channel rate / quality rules
- Misrepresent your identity or affiliation when using Meta-connected channels
7. Suspension & Termination
Katalyst may suspend or terminate access at its sole discretion for:
- Non-payment
- Suspected fraud or abuse
- Violation of these Terms, Meta policies, or applicable law
- Risks to platform security, messaging quality, or other users
Termination does not relieve you of payment obligations accrued through the termination date.
8. Intellectual Property
All platform technology, workflows, systems, and Katalyst-owned outputs are owned by Katalyst. You are granted a limited, non-transferable, non-exclusive license to use the Services during your subscription or authorized access period. Your pre-existing content remains yours, subject to the licenses needed for us to operate the Services.
9. Data & Platform Usage
- Katalyst may collect, process, analyze, and utilize platform data to provide, secure, and improve the Services, including analytics and AI features, as described in the Privacy Policy
- Katalyst retains rights to aggregated, anonymized, and derived data
- Meta-related data is handled as described in the Privacy Policy and our Data Deletion Instructions
10. Disclaimers
- Services are provided “as is” and “as available”
- No guarantees of uptime, accuracy, or performance
- Katalyst is not liable for business losses, missed opportunities, third-party channel outages (including Meta), or data inaccuracies
- Katalyst is not responsible for end-user or business customer content transmitted through the Services
11. Limitation of Liability
To the maximum extent permitted by law:
- Katalyst’s aggregate liability arising out of or related to the Services is limited to amounts paid by you to Katalyst for the Services in the 30 days preceding the claim
- Katalyst is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data
12. Indemnification
You agree to indemnify and hold harmless Katalyst against claims arising from:
- Your use of the Services
- Your customers, messaging content, or transactions
- Your Meta-connected assets and channel compliance
- Your violation of laws, Meta policies, or these Terms
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
14. Updates
Katalyst may update these Terms at any time. Continued use of the Services after an update constitutes acceptance of the revised Terms.
